A non-executive director in your SME or family business.

In many SMEs and family businesses, the board consists of the managing director, a partner and perhaps a family member. Formally, that is in order. But who asks the difficult questions?

A non-executive director brings what is hard to find internally: distance, experience and the freedom to challenge. Here is what that delivers, when it pays off and how to choose the right person.

What a non-executive director adds

  • An independent view. No shares, no family ties, no department to defend.
  • Better decisions. Major choices are prepared, substantiated and genuinely debated.
  • Discipline in follow-up. Agreements are followed up, numbers are actually read.
  • A sounding board for the managing director. Someone who thinks along with no stake in the outcome.
  • Confidence among outsiders. Banks, investors and buyers see professional governance.

When it pays off

A non-executive director pays off above all at moments of change: the business is outgrowing its structure, the next generation is ready to step in, an investor is coming on board, or tensions between shareholders are paralysing the board.

It can be wise even without a specific trigger. Those who strengthen their board when things are going well stand stronger when times get tough.

A good director does not diminish the managing director. They make the decisions better.

Board of directors or advisory board?

A seat on the board of directors means voting rights and directors' liability. An advisory board is lighter: the external adviser thinks along and gives advice, but the decision stays entirely with the board. For many SMEs, an advisory board is a good first step that can later grow into a full board mandate.

How to find the right person

  • Look for experience you lack yourself, not a copy of yourself.
  • Choose someone who has been an entrepreneur or director and knows what it means to decide.
  • Agree in advance how often you meet, what information the director receives and how long the mandate runs.
  • Test the chemistry: a director must dare to disagree, and you must want to hear it.
