What does a non-executive director do?
A non-executive director sits on the board of directors without being a shareholder or family member. They bring an independent view, experience and discipline to decision-making and help safeguard the direction and the risks.
What is the difference between a board of directors and an advisory board?
A director has voting rights and bears directors' liability. An advisory board gives advice, but the decision remains entirely with the board. Many SMEs start with an advisory board.
When does a non-executive director pay off?
In times of growth, a succession, the arrival of an investor or tension between shareholders. Also without a specific reason: those who strengthen their board when things are going well are stronger when times get tough.
